Restrictions on Investors The Directors have powers to impose such restrictions as they may think necessary for the purpose of ensuring that no interests in the Fund are acquired or held by any person or persons in circumstances which, in the opinion of the Directors, might result in the Fund incurring any liability to taxation or suffering any other pecuniary or commercial disadvantage which the Fund might not otherwise have incurred or suffered. Each prospective investor is required to certify that they are an Eligible Investor and that an interest in the Fund is not being acquired directly or indirectly for the account or benefit of a US Person except as permitted herein. A limited number of Participating Shares may be offered and sold to certain US Persons that are tax-exempt entities that meet certain eligibility standards, including being an "accredited investor" within the meaning of the US Securities Act of 1933.sPast performance is
