The Unit Trust constitutes a managed investment scheme that is not required to be registered by the Corporations Act. Accordingly, this Information Memorandum is not required to and does not include all of the information that would be required to be included in a product disclosure statement. Nor is a subscriber provided with the protections afforded by an investor in a managed investment scheme that has been registered under the Corporations Act Units can be issued to eligible investors only in accordance with Section 601ED(2) of the Corporations Act which does not result in the Trust being required to be registered as a managed investment scheme under Part 5C.2 of the Corporations Act; and as decided by the Investment Adviser. Additionally the Trust is not being extended and does not qualify for distribution or sale to a Unitholder with a registered address outside Australia, other than Unitholders with a registered address in New Zealand and any other jurisdiction which it is lawful to make the offers of Units. Unitholders resident in New Zealand should consult their professional advisers as to whether any governmental or other consents are required or other formalities need to be observed to enable them to subscribe for Units.
